Nexus Compute

Acceptable Use Guidelines

1. Introduction

These Acceptable Use Guidelines ("AUG") govern your use of services, platforms, applications, computing Resources, and infrastructure made available by Nexus Compute Corp. ("Nexus," "we," "us," or "our"), including services provided through the Global Supercomputing Network ("GSN").

GSN is a computing platform owned by Amaryllo Group and made available to customers through Nexus Compute. GSN may use infrastructure, technology, software, data centers, and computing Resources provided by Nexus Compute, Amaryllo Group or its affiliates, and independent third-party Suppliers.

These AUG are incorporated into and form part of the Nexus Compute Terms of Service ("Terms"). By accessing or using the Services, making a reservation, or running Workloads on reserved Resources, you agree to comply with these AUG.

If you do not agree to these AUG, you may not access or use the Services.

2. Responsible Use

You are responsible for your use of the Services and for all Workloads, Content, software, data, and activity conducted through your Account or using Resources reserved by you.

You must:

  • comply with all applicable laws and regulations;

  • comply with the Terms and any applicable reservation, Order, or written agreement;

  • maintain the security of your Account and access credentials;

  • ensure that you have all necessary rights, licenses, and permissions for your Content, software, data, and Workloads;

  • use Resources only for lawful and authorized purposes; and

  • take reasonable measures to prevent unauthorized access to your Account, Workloads, and Resources.

  • ​

You are also responsible for the actions of any End Users using the Services through your Account or under your authorization.

3. Prohibited Activities

You may not use the Services or Resources to:

3.1 Illegal Activities

  • violate any applicable law, regulation, court order, or governmental requirement;

  • facilitate fraud, theft, money laundering, sanctions evasion, or other unlawful activity;

  • facilitate the sale, distribution, or provision of illegal goods or services;

  • operate or promote unlawful gambling or similar prohibited activities; or

  • assist or encourage another person to engage in unlawful activity.

3.2 Unauthorized Access and Security Abuse

You may not:

  • gain or attempt to gain unauthorized access to any system, network, account, device, or service;

  • bypass, disable, or interfere with authentication, security controls, access restrictions, or other protective measures;

  • conduct unauthorized vulnerability scanning, penetration testing, security testing, or exploitation;

  • use the Services to conduct phishing, credential theft, identity theft, or similar attacks;

  • deploy malware, ransomware, viruses, worms, trojans, rootkits, or other malicious software;

  • use Resources to launch or facilitate denial-of-service or distributed denial-of-service attacks; or

  • monitor, intercept, or collect network traffic or communications without appropriate authorization.

3.3 Abuse of Computing Resources

You may not:

  • intentionally overload, disrupt, or interfere with the operation of the Services or underlying infrastructure;

  • use Resources to conduct unauthorized cryptocurrency mining or other activities designed to consume disproportionate computing capacity;

  • intentionally interfere with another customer's Workload or Resources;

  • use automated processes to circumvent Resource limits, reservation restrictions, security controls, or other Platform controls;

  • attempt to obtain Resources through fraudulent, deceptive, or unauthorized means; or

  • use multiple Accounts or other methods to circumvent applicable limits, fees, or restrictions.

3.4 Intellectual Property

You may not use the Services to:

  • infringe or misappropriate copyrights, patents, trademarks, trade secrets, or other intellectual property rights;

  • distribute or make available software, media, data, or other materials without the necessary authorization;

  • remove or circumvent copyright, licensing, or other intellectual property protections; or

  • use Nexus or third-party software outside the scope of the applicable license or authorization.

3.5 Harmful or Abusive Content

You may not use the Services to create, store, process, transmit, distribute, or facilitate:

  • content that is unlawful;

  • content that materially facilitates violence or physical harm;

  • content intended to harass, threaten, or stalk another person;

  • content that knowingly facilitates fraud, impersonation, or identity theft;

  • sexually exploitative material or content involving the sexual exploitation of minors; or

  • other content that violates applicable law or the rights of others.

4. Artificial Intelligence and High-Performance Computing

Because the Services may provide GPU and other high-performance computing Resources, you are responsible for ensuring that your AI, machine learning, scientific, rendering, simulation, or other computational Workloads comply with these AUG and applicable law.

You may not use the Services to:

  • develop or deploy malware or other malicious software;

  • conduct unauthorized surveillance or credential collection;

  • circumvent security, access, licensing, or usage restrictions;

  • perform unauthorized security attacks or exploitation;

  • process data that you are not legally authorized to process; or

  • conduct computational activities that materially interfere with the Services, other customers, Suppliers, or underlying infrastructure.

Nexus does not determine whether a particular Workload is lawful or appropriate for a Customer's intended use. You remain responsible for your Workloads and their outputs.

5. Network and Resource Protection

You must not use reserved Resources in a manner that could reasonably be expected to:

  • damage or degrade infrastructure;

  • interfere with other customers or Suppliers;

  • consume network, storage, compute, or other resources in a manner intended to circumvent applicable restrictions;

  • create unreasonable security, operational, or legal risks for Nexus, Amaryllo Group, Suppliers, or other users; or

  • compromise the availability, integrity, or security of the Services.

Nexus may monitor system activity and Resource utilization to the extent reasonably necessary to maintain security, availability, performance, compliance, and proper operation of the Services.

6. Third-Party Resources

Some Resources made available through GSN may be provided by independent third-party Suppliers.

​

You must comply with any applicable Supplier requirements communicated to you in connection with a reservation or Service.

​

Nexus may restrict, suspend, replace, or terminate access to a Resource where necessary to comply with a Supplier requirement, protect the Services, address a security or compliance concern, or enforce these AUG.

​

7. Reservation and Resource Use

The Services are provided based on reservations rather than on-demand access.

You may use reserved Resources only during the applicable reservation period and in accordance with the reservation terms.

​

You may not:

  • transfer, resell, sublicense, rent, or otherwise provide your reserved Resources to another person without authorization;

  • use reserved Resources beyond the scope or limits of the applicable reservation;

  • attempt to circumvent reservation controls or Resource allocation mechanisms; or

  • use a reservation to interfere with or obtain unauthorized access to another customer's Resources.

Reservation fees remain payable in accordance with the applicable reservation terms, including where Resources are underutilized, unless otherwise agreed in writing.

​

8. Prohibited Circumvention

You may not attempt to circumvent:

  • applicable fees or payment requirements;

  • Resource or reservation limits;

  • Account restrictions;

  • authentication or security controls;

  • technical restrictions;

  • usage policies;

  • suspension or termination measures; or

  • other controls implemented by Nexus or applicable Suppliers.

You may not create or use additional Accounts for the purpose of circumventing a restriction, suspension, payment obligation, or other Platform control.

​

9. Enforcement

Nexus may investigate suspected violations of these AUG.

​

Where Nexus reasonably determines that a violation has occurred or may create a security, operational, legal, or compliance risk, Nexus may take appropriate action, including:

  • warning the Customer;

  • restricting or suspending access to Resources;

  • suspending or terminating a reservation;

  • restricting or suspending an Account;

  • removing or disabling access to prohibited Content or Workloads;

  • terminating Services or an applicable agreement; or

  • referring suspected unlawful activity to appropriate authorities.

Nexus may take immediate action where reasonably necessary to protect the Services, other customers, Suppliers, infrastructure, or third parties.

​

Where permitted and appropriate, Nexus may provide notice of the reason for a suspension or other enforcement action.

​

10. Customer Responsibility

You remain responsible for all activity conducted through your Account and for all Workloads and Content submitted to or processed through the Services.

​

Nexus is not responsible for determining whether your use of the Services, Content, software, data, or Workloads complies with laws applicable to you or your business.

​

If you become aware of unauthorized access, security vulnerabilities, misuse of Resources, or other activity that may violate these AUG, you should notify Nexus as soon as reasonably practicable.

11. Changes to These Guidelines

Nexus may update these AUG from time to time to address changes in the Services, technology, security practices, applicable laws, or operational requirements.

Updated AUG will be posted on the applicable website and will include a revised version date.

​

Your continued use of the Services after the effective date constitutes acceptance of the updated AUG, to the extent permitted by applicable law.
